Standard 2.2:
The Institution has a governing board of at least
five members that is the legal body with specific authority over the
Institution. The board is an active policy-making body for the
Institution and is ultimately responsible for ensuring that the financial
resources of the Institution are adequate to provide a sound educational
program. The board is not controlled by a minority of board members or by
organizations or interests separate from it. Neither the presiding
officer of the board nor the majority of other voting members of the board have
contractual, employment, or personal or familial financial interest in the
Institution.
A military Institution authorized and operated by the federal government to
award degrees has a public board in which neither the presiding officer nor a
majority of the other members are civilian employees of the military or
active/retired military. The board has broad and significant influence
upon the Institution’s programs and operations, plays an active role in
policy-making, and ensures that the financial resources of the Institution are
used to provide a sound educational program. The board is not controlled
by a minority of board members or by organizations or interests separate from
the board except as specified by the authorizing legislation. Neither the
presiding officer of the board nor the majority of other voting board members
have contractual, employment, or personal or familial financial interest in the

NARRATIVE/JUSTIFICATION FOR JUDGMENT OF COMPLIANCE
Southeast Kentucky Community and Technical College (SKCTC) is governed by the Kentucky Community and Technical College
Board of Regents (BOR). This 14-member
board has the authority and duty to ensure mission implementation by the
Institution. SKCTC is one of 16 colleges
that are part of the Kentucky Community and Technical College System (KCTCS) [1]. The KCTCS Board
of Regents is established in statute as the governing board. Documents, including Board of Regents meeting
minutes and policies [2],
provide evidence that the board is an active policy-making body for the
Institution and not controlled by a minority of board members or by
organizations or interests separate from SKCTC. The Board is made up of eight members appointed by the Governor, serving
six-year terms; two members of the teaching faculty, two members of
non-teaching personnel, and two members of the student body [3]. All non-Governor appointed members of the
board have one-half (1/2) vote. The
Board approves polices and reviews and approves all financial resources and
financial transactions at each board meeting. The BOR By-laws and Kentucky Revised Statute 164.340 [4] require that a quorum of
board members be present at all official meetings and that all resolutions and
actions require a majority vote. The
Board’s By-laws expressly prohibit the presiding officer of the Board, along
with a majority of the other voting members, from having any contractual,
employment, or personal or familial financial interest in any KCTCS
Institution.
The College is also served by a local Board of Directors, consisting of 10
members, seven of whom are appointed by the Governor from nominees of the SKCTC
Nominating Commission established under KRS 164.602 [5]. The other three members consist of a teaching
faculty member, a non-teaching member of the staff, and a member of the student
body. An appointed member’s term is for
six years. The duties of the Board of
Directors, as specified in KRS 164.600 [6], and KCTCS Board of Regents
policy [7] include the following: (1) recommending one candidate for community college
president from the three candidates provided from the President of KCTCS, who
in turn makes the appointment and is not bound by the recommendations of the
Board of Directors and new appointments are ratified by the KCTCS Board of
Regents; (2) evaluating the college president and advising the President of KCTCS
of his or her performance; (3) approving budget request for recommendation to
the system office; (4) adopting and amending an annual operating budget and
submitting it to the BOR for approval; and (5) approving a strategic plan that
is developed in coordination with local employers, civic leaders, campus
constituents, and other local postsecondary Institutions in the region. [8] The president of each community college has full authority and discretion
regarding the use and management of the budget approved by the BOR. The SKCTC Board of Directors By-laws [9] and KRS 164.340 [4] require
that a quorum of board members be present at all official meetings and that all
resolutions and actions require a majority vote. As stated in the SKCTC Board of Directors
By-laws, the presiding officer of the Board of Directors, along with a majority
of other voting members, have no contractual, employment, or personal or
familial financial interest in the Institution.
